Terms of Service

1. Acceptance of Terms

By purchasing, downloading, installing, or using ChefCaveau ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use the Software.

These Terms constitute a legally binding agreement between you ("the User", "you") and Caveau Digital LLC, a Wyoming limited liability company with registered office at 30 N Gould St, Ste N, Sheridan, WY 82801, United States, operating the ChefCaveau brand ("ChefCaveau", "we", "us", "our").

2. Product Description

ChefCaveau is a client-side web application delivered as a set of HTML, CSS, and JavaScript files. It runs entirely within your web browser and stores all data locally on your device. The Software is designed for professional kitchen management, including recipe costing, menu planning, banquet management, and AI-assisted recipe generation.

3. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the Software on your personal devices. The full terms of this license are detailed in our License Agreement.

This license is for your professional and personal use. You may not redistribute, resell, sublicense, or make the Software available to third parties as a commercial offering.

4. Purchase and Payment

The Software is sold as a one-time purchase at the price displayed at the time of your order. All prices are in US Dollars unless otherwise indicated.

  • The purchase price includes the base Software and all future updates to the core platform.
  • The purchase includes 5 free AI generation credits.
  • Additional AI credits may be purchased separately within the application.
  • Prices for AI credit packs may change at our discretion. Any credits already purchased will remain valid regardless of price changes.

5. Delivery

The Software is delivered electronically as a downloadable ZIP file immediately after payment confirmation. You are responsible for downloading and storing the Software files. We recommend keeping a backup copy of the original download.

6. AI Module

The AI Chef Pro module requires an active internet connection and a valid API key from a supported AI provider (currently OpenAI or Google Gemini). By using the AI module:

  • You acknowledge that AI-generated content is provided "as is" and should be reviewed for accuracy before use in a professional setting.
  • You are responsible for any costs incurred with third-party AI providers based on your API usage.
  • You agree to comply with the terms of service of your chosen AI provider.
  • AI credits purchased from us are non-refundable once used.

7. Your Data and Responsibilities

All culinary data you create within ChefCaveau is stored locally on your device. You are solely responsible for:

  • Maintaining regular backups of your data using the built-in export feature
  • The security of your device and browser environment
  • The safekeeping of any API keys you enter into the application
  • The accuracy and legality of content you create or generate

We are not liable for data loss resulting from hardware failure, browser data clearance, device theft, or any other cause, as we do not have access to your locally stored data.

8. Intellectual Property

The Software, including all code, design, graphics, text, and documentation, is the intellectual property of ChefCaveau and is protected by copyright and other intellectual property laws.

Your purchase grants you a license to use the Software, not ownership of the underlying intellectual property. You may not:

  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any copyright notices, branding, or proprietary markings
  • Create derivative works based on the Software
  • Use the Software's code, design, or assets to build a competing product

9. Updates

All updates to the core Software platform are included with your purchase at no additional cost. Updates are delivered as new downloadable files. You import your existing data into the updated version using the built-in backup and restore feature.

We reserve the right to introduce new premium features or modules (such as AI credit packs) that may require separate purchase.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Software is provided "as is" without warranties of any kind, either express or implied.
  • We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software.
  • Our total liability shall not exceed the amount you paid for the Software.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you in full.

11. Disclaimer for Culinary Use

ChefCaveau is a management and organizational tool. It is not a substitute for professional culinary judgment. Specifically:

  • Allergen information entered into the system is only as accurate as the data you provide. Always verify allergen information independently.
  • Food cost calculations are estimates based on the prices you enter and may not reflect current market prices.
  • AI-generated recipes should be reviewed by a qualified culinary professional before being served to guests.

12. Termination

Your license to use the Software continues in perpetuity as long as you comply with these Terms. We may terminate your license if you materially breach these Terms, including but not limited to redistributing the Software or using it for unlawful purposes.

Upon termination, you must destroy all copies of the Software in your possession. Termination does not affect your locally stored culinary data, which remains on your device.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (single arbitrator, English language, remote hearing), with the seat of arbitration in Wyoming, USA. Notwithstanding the above, consumers residing in the European Union, the United Kingdom, or the GCC retain all mandatory rights of their country of residence, including the right to bring proceedings before the courts of their residence where applicable law so provides.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Software after changes constitutes acceptance of the revised Terms.
